TORONTO - GEOSOFT INC. has made an offer for the software and intellectual property assets of NORTHWEST GEOPHYSICAL ASSOCIATES (NGA), based in Corvallis, Oregon. This includes NGAs line of GM-SYS and GM-SYS 3D gravity and magnetic modeling software as well as its Depth to Basement, Isostatic Residual, SEG-Y Reader and CVTGMS technology.

Said Tim Dobush, Geosoft CEO, The proposed acquisition is a natural progression of Geosofts strong partnership with NGA. It provides an opportunity to advance our integrated solution, simplifying and streamlining software development and our interactions with customers in the oil and gas and geoscience markets.

The transaction is expected to be completed in the second quarter of 2007 and will result in NGA software being incorporated into Geosofts line of desktop mapping and processing software. NGA software developers will become part of Geosofts R&D group.
