Earthworks Industries (TSXV: EWK; US-OTCQB: EAATF) has entered into a binding memorandum of understanding to acquire a comprehensive minerals recovery system from Wokaura Art and Innovations. The acquisition includes intellectual property, modular processing architecture, and a cloud-based management platform designed to support system deployment and operational oversight.
The transaction positions Earthworks to pursue opportunities in urban mining, legacy mine waste reprocessing, and modular metals recovery infrastructure. Chad McMillan, founder of Wokaura, will join Earthworks as strategic advisor to support the integration and commercialization of the system.
The acquired intellectual property underpins a recovery framework aimed at accelerating the production of metals from non-traditional sources. The system is designed for modular, repeatable installations that can be deployed near source materials and scaled efficiently as demand grows. It leverages a centralized digital layer to support long-term network management.
"This transaction marks a strategic inflection point for Earthworks. By acquiring both modular recovery technology and a digital operating framework, we are building a platform designed for scale, visibility, and long-term execution," Earthworks CEO David Atkinson stated.
As consideration for the acquisition, Earthworks will issue up to 6 million common shares to Wokaura, structured in tranches based on signing and performance milestones. The transaction remains subject to TSX Venture Exchange acceptance and execution of definitive agreements.
