VANCOUVER - GEMCOM SOFTWARE INTERNATIONAL has signed a non-binding letter of intent to acquire SURPAC MINEX GROUP of Perth, Australia. Gemcom would pay up to Cdn$13.5 million and up to 13.5 million of its common shares to Surpac shareholders. The deal is subject to due diligence, regulatory and shareholder approvals.

"This acquisition will bring together two of the leading companies in the global mining software industry with highly complementary products, markets, distribution channels and world-class employee groups," said Rick Moignard, Gemcom president and CEO. "Together, we will be able to offer our customers even more comprehensive solutions, while expanding our presence in fast-growing market segments."

The combination of these two companies would bring together under one roof the GEMS, Surpac, Whittle, Minex and In-Site software, all of which are highly regarded in the mining industry.
